Prentis Pre-Hire Training Program Terms of Use

Introduction

Welcome to Prentis Technologies, Inc. These Terms of Use govern the Prentis Pre-Hire Training Program and its online learning platform. The Pre-Hire Training Program is currently not open to new public enrollment (with platform access limited to authorized existing participants), but these Terms remain applicable to existing and historical users and data and will apply if the Program is reopened to new applicants. These Terms do not cover records or work governed by legacy contracts with former training-center partners that have ended. Prentis's Field Diagnostic Platform is a separate product governed by separate terms. The Services are offered only in the United States.

These Terms of Use, together with our Training Program Privacy Policy ("Privacy Policy"), form a legally binding agreement (the "Agreement") between you and Prentis Technologies, Inc. ("Prentis," "Company," "we," "our," or "us"). If you do not agree to these Terms, do not access or use the Services.

1. Acceptance of Terms

A contract is formed when you affirmatively click or tap acceptance presented with a link to these Terms and the Privacy Policy. By accepting or accessing an account, you represent that you are at least 18 years old, have legal capacity, and provide accurate information.

2. Changes to Terms

Prentis may modify these Terms from time to time by posting the revised Terms through the Services with an updated effective date, and may require users to affirmatively accept the revised Terms before continuing to access or use the Services. Where applicable law requires additional advance notice or consent for a material change, Prentis will provide such notice and obtain such consent as required by law.

3. Your Prentis Account

When you create or access a Prentis Pre-Hire Training Program account, you must provide accurate registration information. Because the Program is not currently open to new public enrollment, sign-in access to the online learning platform is restricted to authorized existing participants unless and until Prentis reopens enrollment. You are responsible for safeguarding your login credentials.

Your account is personal to you. You must not share your login credentials or allow any other person to access the Services through your account.

You may request account deletion at any time by contacting support@prentis.co (or through account settings where available). Upon termination, your access immediately ceases, and we may retain, delete, or archive account information in accordance with the Privacy Policy and Section 17. Employers who previously accessed Candidate profiles may retain that information under their own retention policies.

4. Description of Services

The Prentis Pre-Hire Training Program prepares Candidates for careers in the HVAC skilled trades through the following features (when offered):

  1. AI-Powered Skills Verification. Prentis uses AI Technologies to verify candidate skills, including analysis of uploaded video and photo evidence of hands-on work, evaluation of quiz and test responses, review of submitted documentation for authenticity, and cross-referencing of credentials with known sources of truth.

  2. Performance Data Aggregation. The platform collects and aggregates candidate performance data, including assessment scores, simulation performance metrics, certification records, training completion data, and onboarding information.

  3. Pre-Hire Employer-Sponsored Training. Prentis facilitates pre-hire training programs sponsored by Employers, delivered by independent contractor Instructors and industry experts. Training may include hands-on instruction involving hand tools only (such as screwdrivers, wrenches, pliers, measuring tape, and hammers) and does not involve the use of power tools.

  4. Learning Platform. Prentis provides an asynchronous learning platform that enables Candidates to study and complete coursework, including test preparation for industry certifications (such as EPA-608, OSHA-10, and OSHA-30). Prentis does not issue certifications, licenses, diplomas, or credentials of any kind; all certifications must be obtained through authorized third-party bodies.

  5. AI-Assisted Instruction. The platform uses AI Technologies as a teaching assistant to augment instruction and facilitate simulated workplace communication scenarios.

  6. Employer Matching. Prentis connects qualified Candidates with Employers that have open roles in the skilled trades. Prentis does not guarantee job placement or employment outcomes; all hiring decisions are made exclusively by the Employer.

5. Eligibility and User Types

5.1 Candidates. A Candidate is an individual enrolled or participating in the Pre-Hire Training Program (who must be at least 18 years old). Sections 4, 9, 10, and 11 apply to Candidates. If the Program is reopened, Prentis may share Candidate profile information with Employers for recruiting after providing notice or obtaining consent where required by applicable law.

5.2 Employers. An Employer accesses the Pre-Hire Training Program under a separate signed MSA with Prentis.

5.3 Instructors. An Instructor is an independent contractor (not an employee of Prentis) who delivers training pursuant to a separate written agreement with Prentis.

6. Your Use of the Services

6.1 License Grant. Subject to your compliance with these Terms, Prentis grants you a limited, personal, non-exclusive, revocable, non-assignable, and non-transferable license to access and use the Services in accordance with your user type.

6.2 Use Restrictions. You must not, and must not permit any third party to:

  1. Copy, capture, scrape, or extract any Content from the Services other than through features expressly provided by Prentis.

  2. Employ scraping, crawling, or automated techniques to aggregate, repurpose, or train AI models on Content from the Services without Prentis's prior written consent.

  3. Alter or remove any trademark, copyright, or proprietary notice in the Services.

  4. Copy, modify, decompile, reverse engineer, or attempt to discover the source code of any part of the Services.

6.3 Enforcement. Prentis may suspend or terminate your account or take legal action if you breach this Section 6 or any other provision of these Terms.

6.4 User Content. You retain ownership of your User Content. You grant Prentis and its service providers a nonexclusive, worldwide, royalty-free license during the applicable retention period to host, store, process, and use User Content to provide, secure, support, maintain, and improve the Pre-Hire Training Program. De-identified data may be used indefinitely as the Privacy Policy permits. You represent that you have all necessary rights, notices, and consents. AI models, weights, and learnings developed from User Content before deletion or retention expiration need not be deleted or retrained unless required by law.

7. Artificial Intelligence Disclosure

7.1 Use of AI Technologies. Prentis uses AI Technologies in the Program for skills verification, candidate evaluation, instructional assistance, simulation facilitation, and credential review.

7.2 AI in Candidate Evaluation. Where AI Technologies are used to evaluate Candidates, evaluations inform — but do not solely determine — whether a Candidate is presented to an Employer, with human oversight incorporated as required by applicable law.

7.3 Limitations of AI. AI Technologies are probabilistic and not infallible. Prentis does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output, assessment, evaluation, or recommendation.

7.4 Right to Contest. If the Program is reopened, a Candidate who believes an AI-assisted evaluation was inaccurate may request human review to the extent required by applicable law or Program terms.

7.5 State and Local AI Compliance. Before reopening affected Program features, Prentis will provide any additional notices, assessments, audits, or consents required by applicable employment AI laws in the relevant jurisdiction.

8. Cross-Product Data Isolation

The Prentis Pre-Hire Training Program and the Prentis Field Diagnostic Platform operate with separate data stores, and Prentis does not share personal data across products unless Prentis updates these Terms and the Privacy Policy and provides any notice and obtains any consent required by applicable law.

9. Background Checks, Drug Screening, and Motor Vehicle Records

9.1 Screening Services. As part of the employer-sponsored pre-hire process, Prentis may facilitate background checks, drug screenings, and motor vehicle record checks on Candidates on behalf of Employers. Separate written notice and express written authorization will be obtained before any screening is initiated.

9.2 Informational Purpose Only. Screening results do not prohibit a Candidate from independently seeking employment with any Employer. All hiring decisions are made exclusively by the Employer, and Prentis is not responsible for any Employer's use of screening results.

9.3 FCRA Compliance. To the extent any screening constitutes a "consumer report" under the Fair Credit Reporting Act ("FCRA"), 15 U.S.C. § 1681 et seq., Prentis and its third-party screening providers will provide standalone FCRA disclosures and obtain written authorization before procuring a consumer report.

9.4 Disputes. If you believe a screening result is inaccurate, you may contact support@prentis.co, and Prentis will coordinate with the applicable consumer reporting agency in accordance with applicable law.

10. Safety and Hands-On Training

10.1 Safety Requirements. Candidates participating in hands-on training must comply with all safety instructions and wear provided safety equipment (including gloves and safety glasses) at all times.

10.2 Permitted Hands-On Activities. Hands-on training activities are limited to hand tools only (such as screwdrivers, wrenches, pliers, measuring tape, and hammers); no power tools are used.

10.3 Pre-Hire Training Only. All training facilitated by Prentis occurs prior to any employment relationship with an Employer. Once hired, the Employer is solely responsible for workplace safety and on-the-job activities, and Prentis has no responsibility for post-employment activities.

10.4 Assumption of Risk — Hands-On Training. Subject to Section 15's Non-Excludable Liability carveout, you expressly assume the inherent risks of participating in hands-on hand-tool training activities and waive claims arising from those inherent risks or from your failure to follow safety instructions or use provided safety equipment.

11. Certifications and Third-Party Costs

11.1 Third-Party Certifications. Industry certifications (such as EPA-608, OSHA-10, and OSHA-30) must be obtained through authorized third-party certification bodies. Prentis provides test preparation only and does not proctor exams or confer certifications or licenses.

11.2 Candidate Costs. Candidates are responsible for paying certification fees directly to third-party certification bodies and obtaining any required hand tools from retailers of their choosing.

11.3 Employer Reimbursement. Any reimbursement of certification or tool costs by an Employer is solely a matter between the Candidate and the Employer and is not guaranteed by Prentis.

12. Intellectual Property Rights

The Services and their entire contents, features, training content, learning materials, simulations, assessments, AI outputs, software, trademarks, and logos created by Prentis are the exclusive intellectual property of Prentis or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual-property laws. No user may reproduce, distribute, modify, or commercially exploit them without Prentis's prior written consent. User Content is governed by Section 6.4.

IP Complaint Process. If you believe content in the Services infringes your intellectual-property rights, send Prentis a written notice at support@prentis.co identifying the work, the allegedly infringing material, your contact information, and a good-faith explanation of the claim. Prentis may review and respond as appropriate. This process does not limit any rights or remedies available under applicable law.

13. Third-Party Websites and Services

The Services may link to or integrate with third-party websites, certification bodies, screening portals, and external services ("External Services"). Prentis does not control or endorse External Services and is not responsible for their content, operation, availability, terms, or privacy practices.

You use all External Services at your own risk and must independently verify material information.

14. Disclaimer of Warranties

THE SERVICES — INCLUDING THE WEBSITE, ONLINE LEARNING PLATFORM, AI TECHNOLOGIES, TRAINING MATERIALS, SIMULATIONS, ASSESSMENTS, THE PRENTIS PRE-HIRE TRAINING PROGRAM, AND ALL CONTENT — ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

YOU AGREE AND ACKNOWLEDGE THAT YOU ASSUME FULL, EXCLUSIVE, AND SOLE RESPONSIBILITY FOR THE USE OF AND RELIANCE ON THE SERVICES, AND YOU FURTHER AGREE AND ACKNOWLEDGE THAT YOUR USE OF OR RELIANCE ON THE SERVICES IS MADE ENTIRELY AT YOUR OWN RISK. YOU FURTHER ACKNOWLEDGE THAT IT IS YOUR RESPONSIBILITY TO COMPLY WITH ALL APPLICABLE LAWS, CODES, PROFESSIONAL STANDARDS, AND EMPLOYER REQUIREMENTS WHILE USING THE SERVICES. PRENTIS MAY, IN ITS DISCRETION AND SUBJECT TO APPLICABLE LAW, ADDRESS REPORTED ERRORS OR OMISSIONS; HOWEVER, THE COMPANY MAKES NO PROMISES, GUARANTEES, REPRESENTATIONS, OR WARRANTIES OF ANY KIND WHATSOEVER (EXPRESS OR IMPLIED) REGARDING THE SERVICES, OR ANY PART OR PARTS THEREOF, ANY CONTENT, OR ANY LINKED SERVICES OR OTHER EXTERNAL SERVICES. THE COMPANY DOES NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR ANY PART OR PARTS THEREOF, THE CONTENT, OR THE SERVERS ON WHICH THE SERVICES OPERATE ARE OR WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, THE PRENTIS PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR SUITABILITY OF ANY AI-GENERATED OUTPUT, EVALUATION, ASSESSMENT, VERIFICATION, OR TRAINING MATERIAL, OR ANY EMPLOYMENT OR CERTIFICATION OUTCOME, AND EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.

15. Limitation of Liability

To the maximum extent permitted by law, the Prentis Parties exclude all liability for indirect, incidental, special, consequential, exemplary, or punitive damages, and for lost profits, revenue, business opportunities, data, or goodwill. "Non-Excludable Liability" means liability that applicable law does not permit to be excluded or limited. Proven direct damages remain subject to the Aggregate Liability Cap below except for Non-Excludable Liability.

SUBJECT TO THE NON-EXCLUDABLE LIABILITY CARVEOUT, THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGARDLESS OF THE FORM OR THEORY OF LIABILITY, INCLUDING CONTRACT, WARRANTY, STATUTE, TORT (INCLUDING CLAIMS BASED ON THE PRENTIS PARTIES' OWN NEGLIGENCE), STRICT LIABILITY, OR PRODUCT LIABILITY, AND REGARDLESS OF ANY ERROR OR BREAKDOWN IN THE FUNCTION OF THE SERVICES.

SUBJECT TO THE NON-EXCLUDABLE LIABILITY CARVEOUT, the Prentis Parties have no liability for the following categories of loss or harm:

  1. YOUR RELIANCE ON THE CONTENT OF THE SERVICES, INCLUDING THIRD-PARTY CONTENT, AI-GENERATED OUTPUTS, TRAINING MATERIALS, OR SIMULATIONS;

  2. YOUR INABILITY TO ACCESS OR USE THE SERVICES, OR ANY DELETION, CORRUPTION, OR FAILURE TO STORE DATA;

  3. ANY MODIFICATION, SUSPENSION, MOTHBALLING, OR DISCONTINUATION OF THE SERVICES;

  4. ANY THIRD-PARTY CLAIM OR LAW ENFORCEMENT INVESTIGATION RELATING TO YOUR USER CONTENT OR USE OF THE SERVICES;

  5. ANY ERRORS, OMISSIONS, OR INACCURACIES IN THE SERVICES OR IN AI-GENERATED OUTPUTS, EVALUATIONS, OR ASSESSMENTS;

  6. YOUR FAILURE TO PROVIDE ACCURATE INFORMATION OR KEEP YOUR CREDENTIALS SECURE;

  7. ANY LOSS OR DAMAGE TO HARDWARE, SOFTWARE, OR DATA, OR FROM ANY SECURITY INCIDENT;

  8. ANY LOSS OF PROFITS, BUSINESS OPPORTUNITIES, OR REVENUE;

  9. ANY INJURY, LOSS, OR DAMAGE ARISING FROM PARTICIPATION IN HANDS-ON TRAINING ACTIVITIES, TO THE EXTENT PERMITTED BY APPLICABLE LAW; OR

  10. ANY EMPLOYMENT DECISION MADE BY AN EMPLOYER, INCLUDING DECISIONS NOT TO HIRE, TERMINATE, OR TAKE ADVERSE ACTION AGAINST A CANDIDATE.

TIME TO BRING CLAIMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN TWO (2) YEARS AFTER THE CLAIM ACCRUES, OR IT IS PERMANENTLY BARRED (TOLLED DURING THE 30-DAY INFORMAL RESOLUTION PERIOD IN SECTION 18). NEW JERSEY CONSUMERS: IF YOU RESIDE IN NEW JERSEY, NOTHING IN SECTIONS 14, 15, 16, 18, OR 19 WAIVES OR LIMITS ANY RIGHT, REMEDY, OR LIABILITY THAT CANNOT LAWFULLY BE WAIVED OR LIMITED UNDER NEW JERSEY LAW.

Aggregate Liability Cap. SUBJECT TO THE NON-EXCLUDABLE LIABILITY CARVEOUT, THE TOTAL AGGREGATE LIABILITY OF THE PRENTIS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO PRENTIS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00). The Prentis Parties other than Prentis are intended third-party beneficiaries of Sections 14 and 15.

16. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Prentis Parties from and against any and all third-party claims, demands, actions, liabilities, damages, losses, judgments, settlements, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your User Content; (c) your breach of these Terms; or (d) your violation of applicable law or the rights of any third party. Prentis reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with Prentis's defense of such claims. You may not settle any claim without Prentis's prior written consent. (Indemnification obligations of Employers and Instructors are additionally governed by their respective signed MSA or Instructor agreements with Prentis.)

17. Data Protection and Retention

17.1 Privacy Policy. Prentis collects, uses, retains, and discloses personal data in connection with the Program as described in the Training Program Privacy Policy.

17.2 Deletion Requests. Users may request deletion of their personal data by contacting support@prentis.co, subject to applicable retention obligations and legal holds. Deletion requests for data already shared with Employers are subject to those Employers' retention policies.

18. Applicable Law and Arbitration

If a dispute arises, please first contact Prentis at support@prentis.co to attempt informal resolution.

Arbitration Opt-Out. You may opt out of this arbitration agreement within 30 days after first accepting it by emailing support@prentis.co with your name, account email or other account identifier, and a clear statement that you opt out. Opting out will not result in any account penalty.

Informal Dispute Resolution. Before arbitration, a party must provide the other written notice of the dispute and requested relief and allow 30 days for good-faith informal resolution.

These Terms of Use shall be construed in accordance with and governed by the laws of the United States and the State of Delaware, without reference to their rules regarding conflicts of law. The Company is incorporated in the State of Delaware with its principal place of business in Pittsburgh, Pennsylvania. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation, applicability, enforceability, and enforcement of the arbitration agreement in this Section; Delaware law governs the merits. Any claim that proceeds in court rather than in arbitration, other than an individual small-claims matter, including any proceeding to compel arbitration or to confirm, modify, or vacate an arbitration award, must be brought exclusively in the state courts located in Allegheny County, Pennsylvania, or, if federal subject-matter jurisdiction exists, the United States District Court for the Western District of Pennsylvania, and you and Prentis consent to personal jurisdiction and venue in those courts, except to the extent applicable law gives you a right to a different forum that cannot be waived.

To the extent the laws of your state or territory of residence provide consumer protections that may not be waived by contract, those protections continue to apply to you notwithstanding the choice of law stated in this Section, and nothing in these Terms waives any right or protection that cannot lawfully be waived.

Except for individual small-claims matters and claims for public injunctive relief that cannot lawfully be arbitrated, disputes between you and Prentis must be resolved by binding individual arbitration administered by JAMS. Individual consumer disputes will be administered under the JAMS Consumer Arbitration Rules and JAMS Consumer Minimum Standards then in effect. Consumer fee allocation required by those standards or applicable law controls. An individual consumer may elect telephone, video, written-submission, or an in-person hearing in the consumer's county of residence where the rules or law allow.

California and Public-Injunctive-Relief Savings. Nothing in these Terms requires arbitration of a claim for public injunctive relief that applicable law does not permit to be waived or arbitrated. That claim may proceed in a court of competent jurisdiction, while all other claims remain in individual arbitration to the extent lawful.

Delegation. Except that a court of competent jurisdiction, rather than the arbitrator, decides disputes about whether a contract was formed and the enforceability of the class, collective, representative, or public-injunction waivers, the arbitrator has exclusive authority to resolve disputes about the interpretation, applicability, enforceability, or formation of this arbitration agreement.

Mass Arbitration. If twenty-five (25) or more similar demands for arbitration are filed against the same party or related parties by individual claimants represented by the same law firm or by law firms acting in coordination, the parties expressly agree that the JAMS Mass Arbitration Procedures and Guidelines in effect when the first qualifying demand is filed shall apply to their administration. Any batching or sequencing does not prevent a demand from being filed, alter mandatory consumer fee allocation, or shorten an applicable limitations period.

Frivolous or Bad-Faith Claims. The arbitrator may award the prevailing party its reasonable attorneys' fees and costs in connection with any claim or defense that the arbitrator determines was frivolous or was brought or maintained in bad faith or for an improper purpose, to the extent permitted by the applicable arbitration rules and applicable law.

Small Claims Exception. Notwithstanding the agreement to arbitrate, either party may bring an individual claim in a court that adjudicates small claims, so long as the claim qualifies for and remains in small claims court and proceeds only on an individual basis.

19. Class Action and Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PRENTIS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OF ANY KIND. ALL DISPUTES MUST BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.

If a class, collective, representative, or public-injunction waiver is unenforceable as to a particular nonarbitrable or public-injunction claim, only that claim may proceed in court. All other claims remain subject to individual arbitration to the extent lawful.

20. Changes to the Services

Subject to Section 15's Non-Excludable Liability carveout, Prentis reserves the right at any time to modify, suspend, mothball, reopen, or discontinue the Program or any part thereof without liability to you.

21. Availability of Services and Force Majeure

Subject to Section 15's Non-Excludable Liability carveout, Prentis makes no guarantee that the Services will be available at all times, without interruption, or without error.

21.1 Force Majeure. Prentis is not liable for any delay, interruption, or failure caused by events beyond its reasonable control, including natural disasters, government actions, labor disputes, third-party AI/cloud/network failures, power outages, or cyberattacks.

22. Complete Agreement, Severability, and Assignment

These Terms and the Privacy Policy constitute the complete agreement for an individual's use of the Program, except where a separate signed agreement expressly governs. If any provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in full force. Provisions that by their nature should survive termination (including Sections 6.4, 7, 8, 10, 12 through 19, and 22) survive termination. Prentis's failure or delay in enforcing any provision is not a waiver.

Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without Prentis's prior written consent, and any attempted assignment in violation of this provision is void. Prentis may assign or transfer these Terms, in whole or in part, without your consent, to an affiliate or to a successor in connection with a merger, acquisition, reorganization, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

Publication and Transition. These Terms supersede the prior combined Terms of Use effective October 22, 2026 as to the Prentis Pre-Hire Training Program. Users required to accept these Terms before accessing the Program are bound upon that acceptance; to the extent any change in these Terms would require notice or consent under the prior version or applicable law as to an existing user who has not yet accepted, it applies upon such notice or acceptance and does not apply retroactively.

Prentis Pre-Hire Training Program Privacy Policy

Prentis Technologies, Inc. ("Prentis," "Company," "we," "our," or "us") respects your privacy. This Privacy Policy ("Policy") describes how Prentis collects, uses, retains, protects, and discloses information in connection with the Prentis Pre-Hire Training Program and its online learning platform (collectively, the "Services" or the "Program"). The Services are offered only in the United States.

Prentis has operated the Prentis Pre-Hire Training Program for skilled-trades recruiting, training, and candidate matching. The Program is currently not open to new public enrollment (with platform access limited to authorized existing participants), but this Policy remains applicable to existing and historical users and data and will apply if the Program is reopened to new applicants. The Prentis Field Diagnostic Platform is a separate product governed by a separate privacy policy.

1. Applicability

This Privacy Policy applies to users of the Prentis Pre-Hire Training Program, including existing, historical, or future Candidates, Employers, and Instructors. This Policy does not govern records from unrelated legacy training contracts that have ended. Cross-product sharing occurs only as described in Section 4.11.

This Privacy Policy does not apply to third-party applications, websites, or services that integrate with or are accessible through the Services ("Third-Party Services"). Third-Party Services are governed by their own privacy policies, and we encourage you to review them before providing any information.

2. Information We Collect

We collect information in three ways: (a) information you provide directly, (b) information collected automatically, and (c) information obtained from third-party sources.

2.1 Information You Provide to Us

(a) Account Information. When you register for the Services, you provide your name, email address, and other information required during the registration process.

(b) Profile and Onboarding Information. Candidates provide additional information during onboarding, including zip code, prior experience with tools, employment history, educational background, and other information relevant to skilled trades employment.

(c) Assessment and Training Data. When you participate in assessments, quizzes, simulations, and training activities through the Services, we collect your responses, scores, and performance data.

(d) Video, Photo, and Audio Submissions. Candidates may upload or record video and photo evidence of hands-on work for skills verification purposes. The platform may also capture audio transcripts of platform interactions, including simulated customer service and workplace communication scenarios.

(e) Certification and Credential Information. Candidates provide documentation of certifications (such as EPA-608, OSHA-10, OSHA-30), licenses, and other credentials, which we review for authenticity and may cross-reference with authorized certification bodies. We may, at our discretion, review copies of these documents during the verification process, after which such copies are not retained beyond the period reasonably necessary for verification.

(f) Communications. We collect the content of messages you send through the Services, including communications with instructors, support requests, and any correspondence with us via email or other channels.

(g) Instructor Information. Instructors provide professional qualifications, contact information, and other information necessary to deliver training services as independent contractors.

(h) Employer Information. Employers provide company information, position requirements, workplace conditions, and hiring criteria through the platform and pursuant to their Master Services Agreement ("MSA") with Prentis.

2.2 Information Collected Automatically

(a) Usage Data. We automatically collect information about how you access and use the Services, including pages visited, features used, time spent on the platform, clickstream data, and referring URLs.

(b) Device Information. We collect information about the device you use to access the Services, including device type, operating system, browser type, unique device identifiers, IP address, and mobile network information.

(c) Cookies and Similar Technologies. We use cookies, local storage, software development kits (SDKs), and similar technologies to operate and secure the Services, remember your preferences, and collect usage and campaign-attribution data. You may disable cookies through your browser or device settings, but doing so may limit certain features of the Services.

(d) Analytics Tools. Prentis uses analytics and error-monitoring services that collect usage and device information through cookies and SDKs. Prentis does not respond to Do Not Track signals and does not sell or share personal information for cross-context behavioral advertising. Where applicable law requires Prentis to honor a recognized opt-out preference signal, Prentis will do so.

(e) Advertising Technologies. Prentis may place advertisements for the Pre-Hire Training Program if reopened, and does not share identifiable user data with advertising platforms.

2.3 Information from Third-Party Sources

(a) Background Checks and Screening. As part of the employer-sponsored pre-hire process, we may obtain background check reports, drug screening results, and motor vehicle records from authorized third-party vendors, subject to your consent and in compliance with the Fair Credit Reporting Act ("FCRA") and applicable state law. Prentis reserves the right to select and change third-party screening vendors at its sole discretion without notice.

(b) Certification Bodies. We may cross-reference certification and credential information you provide with authorized third-party certification bodies to verify authenticity.

(c) Publicly Available Information. We may collect information from publicly available sources to supplement the information you provide.

3. How We Use Your Information

We use the information we collect for the following purposes:

(a) Providing the Services. To create and manage your account, deliver the Services, facilitate assessments, training, simulations, and employer matching, and communicate with you about the Services.

(b) AI-Powered Skills Verification. To analyze uploaded video and photo evidence of hands-on work, evaluate quiz and test responses, review submitted documentation for authenticity, cross-reference credentials with known sources of truth, and assess candidate readiness using artificial intelligence and machine learning technologies, which may evolve over time as the Company adopts new or improved methods at its discretion.

(c) AI-Assisted Instruction. To provide AI-powered teaching assistance that augments live instruction, and to facilitate simulated on-the-job scenarios for customer service and workplace communication training.

(d) Candidate Evaluation. If the Pre-Hire Training Program is restored, Prentis may evaluate Candidates using collected signals, including assessment scores, simulation performance, training completion, and credential verification, to inform whether a Candidate is presented to an Employer for interview. Prentis will provide any notices, obtain any consents, and provide human review to the extent required by applicable law or separately published Program terms. These evaluations do not solely determine whether a Candidate is presented to an Employer for interview where applicable law or separately published Program terms require.

(e) Performance Data Aggregation. To aggregate candidate performance data, including assessment scores, simulation grades, certification records, and training completion data, into candidate profiles for presentation to employers.

(f) Employer Matching. To share candidate profiles with employers on the platform for recruiting purposes. Candidate profiles include aggregated grades and scores derived from raw performance data; raw data (such as video recordings, audio transcripts, and individual quiz responses) is not shared with employers.

(g) Background Screening. To facilitate background checks, drug screenings, and motor vehicle record checks on behalf of employers as part of the pre-hire process, in compliance with the FCRA and applicable state law.

(h) Platform Improvement (Pre-Hire Training Program). To analyze usage patterns, conduct research and development, improve the Services, and develop new features.

4. How We Share Your Information

We may share your information in the following circumstances:

4.1 With Employers

If the Pre-Hire Training Program is restored, Prentis may share Candidate profile information — including aggregated assessment scores, simulation performance grades, certification records, training completion data, and limited onboarding information (such as name, zip code, indicated prior experience, and employment or education background) — with Employers on the platform only for recruiting purposes and only after providing notice or obtaining consent where applicable law requires. Raw Candidate video, audio, and individual quiz responses are not shared with Employers. Acceptance of this public Policy or the Terms is not a substitute for separate consent where applicable law requires it.

4.2 With Screening Providers

We share personal information with authorized third-party vendors who conduct background checks, drug screenings, and motor vehicle record checks on our behalf, subject to your consent and in compliance with the FCRA.

4.3 With Certification Bodies

We may share certification and credential information with authorized third-party certification bodies for verification purposes.

4.4 With Service Providers

Prentis shares information with third-party service providers that process data on our behalf to operate, host, secure, support, and improve the Services, including cloud database and hosting providers, providers of AI and simulation functionality, authentication and email providers, and analytics and error-monitoring providers.

4.5 With Analytics and Advertising Partners

Prentis may share usage data with analytics and error-monitoring providers to analyze use, improve the Services, and maintain reliability. Prentis does not share identifiable user data with advertising platforms.

4.6 With Government Agencies

We may share information with government workforce agencies in the future if required or permitted by law. If Prentis begins material new discretionary sharing, it will provide the notice and choice required by applicable law.

4.7 Business Transfers

In connection with a merger, acquisition, reorganization, sale of assets, or bankruptcy, your information may be transferred to the acquiring entity. Prentis will provide notice of a transfer or Policy change to the extent required by applicable law.

4.8 Legal Requirements

We may disclose your information if required by law, regulation, legal process, or government request, or if we believe disclosure is necessary to protect the rights, property, or safety of Prentis, our users, or the public.

4.9 With Your Consent

We may share your information for any other purpose with your consent.

4.10 No Sale of Personal Information

Prentis does not sell or share personal information as defined by applicable state privacy laws. Disclosures to employers and screening providers occur only for the purposes stated in this Policy and under applicable agreements and law.

4.11 Cross-Product Data

The Prentis Pre-Hire Training Program and the Prentis Field Diagnostic Platform maintain separate data stores. Prentis does not share personal data across products unless Prentis updates this Policy and provides any notice and obtains any consent required by applicable law.

5. Artificial Intelligence and Automated Decision-Making

5.1 Use of AI Technologies. Prentis uses artificial intelligence, machine learning, and automated decision-making technologies ("AI Technologies") throughout the Services. AI Technologies are used for skills verification, candidate evaluation, instructional assistance, simulation facilitation, credential review, and other purposes described in this Policy and our Terms of Use.

5.2 Data Inputs. AI Technologies process a wide range of data inputs, including video and photo submissions, audio transcripts, quiz and assessment responses, simulation interactions, certification documents, and other information you provide through the Services.

5.3 Human Oversight. If the Pre-Hire Training Program is reopened, AI-assisted evaluations may be used to inform whether a Candidate is presented to an Employer for interview, with human oversight provided to the extent required by applicable law or separately published Program terms.

5.4 Limitations. AI Technologies are not infallible. Prentis does not guarantee the accuracy, completeness, or reliability of any AI-generated output, assessment, evaluation, or recommendation.

5.5 Right to Contest. If the Pre-Hire Training Program is restored, a Candidate who believes an AI-assisted evaluation or verification was inaccurate may request a human review or contest process to the extent required by applicable law or separately published Program terms. Prentis will handle the request under the governing requirement.

5.6 State and Local Compliance. Before restoring affected Pre-Hire Training Program features, Prentis will evaluate applicable employment and artificial-intelligence laws and provide notices, assessments, audits, consent, or human review where required.

6. Background Checks and FCRA Compliance

6.1 Consumer Reports. To the extent that any background check, drug screening, or motor vehicle record check constitutes a "consumer report" under the Fair Credit Reporting Act ("FCRA"), Prentis and/or its authorized third-party screening providers will comply with all applicable FCRA requirements.

6.2 Disclosure and Authorization. Before procuring any consumer report, we will provide you with a standalone FCRA disclosure and obtain your written authorization, as required by law.

6.3 Adverse Action. If information in a consumer report is used as a factor in any adverse decision regarding your candidacy, we will comply with all applicable adverse action notice requirements under the FCRA and applicable state law, including providing you with a copy of the report and a summary of your rights.

6.4 Disputes. If you believe that any screening result is inaccurate, you may dispute the result by contacting us at support@prentis.co. We will work with the applicable screening provider to investigate and resolve the dispute in accordance with applicable law.

6.5 Informational Purpose. Screening results are used for assessment purposes only and do not prohibit you from independently seeking employment with any employer, whether or not you are selected for interview through the Prentis platform.

7. Data Retention

Prentis retains Pre-Hire Training Program personal information as necessary for the stated purposes, legal obligations, disputes, and enforcement, and in accordance with the specific retention rules below. Backup copies follow Prentis's ordinary backup cycle and remain isolated.

(a) Account Information. Retained for as long as your account is active and for such period thereafter as is required to satisfy applicable legal and regulatory obligations.

(b) Assessment, Training, and Simulation Data. Retained for as long as your account is active and for such period thereafter as is required by applicable law, as this data forms part of your candidate profile.

(c) Video, Photo, and Audio Submissions. Retained for as long as necessary to complete the verification and evaluation process, and for a reasonable period thereafter.

(d) Background Check and Screening Data. Retained in accordance with FCRA requirements and applicable state law.

(e) Analytics and Device Data: retained in de-identified or aggregated form as needed for platform improvement, and in identifiable form as required for security, operations, and applicable law.

De-Identified and Aggregated Data. Prentis may create, use, and retain de-identified or aggregated data that does not reasonably identify an individual indefinitely for lawful purposes, including AI development.

When Prentis no longer has a legitimate business need to retain personal information, it will delete or de-identify it. If deletion is not immediately possible, such as in backup archives, Prentis will securely store and isolate the information until deletion is possible.

You may request deletion of your data at any time. Prentis will honor a valid request unless a statutory exception or legal hold applies. Deletion requests for data already shared with third parties, such as employers, are subject to those third parties' own retention and deletion policies.

8. Data Security

Prentis implements reasonable administrative, technical, and physical security measures to protect personal information held in Prentis's cloud database systems from loss, misuse, unauthorized access, disclosure, alteration, and destruction.

However, no method of transmission over the Internet or method of electronic storage is completely secure. We cannot guarantee the absolute security of your information. You are responsible for maintaining the confidentiality of your account credentials and for notifying us immediately at support@prentis.co if you believe your account has been compromised.

Breach Notification. In the event of a security incident involving unauthorized access to, or acquisition or disclosure of, personal information, Prentis will investigate the incident and will notify affected individuals and applicable regulatory authorities as, and within the timeframes, required by applicable data breach notification laws.

9. Your Rights and Choices

The rights described in this section apply to all user types of the Pre-Hire Training Program, including Candidates, Employers, and Instructors, to the extent required by applicable law. Account deletion is subject to applicable law, statutory exceptions, and legal holds.

9.2 California Residents (CCPA/CPRA)

If the California Consumer Privacy Act, as amended, applies to Prentis's processing of your personal information, California residents may have rights to know, delete, correct, opt out of sale or sharing where applicable, and receive non-discriminatory treatment for exercising applicable rights. To exercise applicable rights, contact support@prentis.co. Prentis will verify requests and honor authorized-agent requests where required by law.

9.3 Residents of States with Comprehensive Privacy Laws

If an applicable state comprehensive privacy law gives you consumer privacy rights, you may exercise them by contacting support@prentis.co. To the extent required by the applicable law, Prentis will accept authorized-agent requests, respond within the statutory timeframe (such as 45 days, with any permitted extension), and provide an appeal process. Rights, verification, exceptions, and appeal availability depend on the law that applies to the request.

10. Children's Privacy

The Services are not directed to individuals under 18, and Prentis does not knowingly collect personal information from individuals under 18. If Prentis learns it has collected such information, it will delete it unless retention is legally required.

11. Third-Party Links and Services

The Services may contain links to or integrations with third-party services, including certification bodies, screening providers, and employer sites. Their privacy practices govern information they collect independently.

The Services are offered only in the United States. Prentis and its service providers process information in the United States and other jurisdictions where their infrastructure operates.

Where applicable law requires additional advance notice or consent for a material change to our privacy practices, Prentis will provide such notice and obtain such consent as required by law.
